LOADLOOM RATE CARD CARRIER ADDENDUM โ Version 1.0. Between the carrier identified in the platform record (the "Carrier", "you") and ShipVista Corporation, carrying on business as LoadLoom. This Addendum supplements your existing LoadLoom Carrier Agreement, which continues to apply; where they conflict about rate cards, this Addendum controls.
1.1 A rate card is a table of your own prices (lanes or zones, weight breaks, accessorials, fuel percentage) that you upload in the published format. When your card is active, the platform may display priced options from it ("Carrier Direct" options) to shippers whose requests match your card, alongside the platform's own service tiers, identified with your name and your on-platform performance record.
1.2 Your prices, your offer. Rates on your card are set by you alone and are your offer to carry. You may update your card at any time by uploading a new version; each quote and booking keeps the card version that priced it. We never set, raise or lower your rates.
2.1 Rate cards are open to carriers in good standing that meet the program's posted eligibility (completed platform hauls, on-time performance, current authority and insurance). Your existing geographic authority limits apply to your card: lanes you lack authority to serve are rejected at validation or upon later verification.
2.2 Because Carrier Direct options carry the platform's presentation, repeated service failures on Carrier Direct bookings, lapsed authority or insurance, or misleading card content pause your card, with notice and reasons and reinstatement on cure.
3.1 A shipper's booking of a Carrier Direct option forms a contract of carriage on the platform's applicable service terms, naming you as the performing carrier at your card price. Dispatch, documents, tracking and proof of delivery run on the platform rails, as with any platform load.
3.2 Settlement. You are paid through the existing settlement rails at your card price for the services performed, less the program charges stated in the posted program terms at the time of booking. Program charges change only prospectively, with notice, and never touch bookings already made.
4.1 You warrant that your card reflects prices you will honour, that surcharges and accessorials on it are real and lawfully charged, and that you hold the authority, registration and insurance required for every lane on it. The platform validator's acceptance of a card is a formatting check, not a legal review.
5.1 Where the platform displays a CO2e figure beside a Carrier Direct option, it is a screening estimate per loadloom.com/co2-methodology, informational only, and no part of the contract of carriage.
6.1 Acceptance is electronic and recorded with the signing individual's typed name, date and time, network address, device identification and a binding cryptographic hash; both parties agree these records evidence execution.
6.2 Either party may end this Addendum on notice; ending it retires your card but does not touch bookings already made. The disputes and governing-law provisions of your Carrier Agreement apply to this Addendum.
